Terms of Service

1.

Introduction

Welcome to KIUD360 ("Platform", "Service"), a cloud-based School Management System owned and operated by KiudTech Solutions Pvt Ltd ("KiudTech", "Company", "we", "our", or "us").

These Terms of Service ("Terms") govern access to and use of KIUD360 by educational institutions, administrators, teachers, staff members, students, parents, guardians, and other authorized users.

By accessing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

2.

Definitions

Company
KiudTech Solutions Pvt Ltd.
Platform
KIUD360, including all websites, applications, software, services, APIs, and related technologies.
Institution
A school, educational organization, trust, society, management body, or other entity using the Platform.
Authorized User
Any individual granted access to the Platform by an Institution.
Institution Data
All information uploaded, stored, generated, or processed by an Institution through the Platform.
Subscription Plan
The pricing plan or service package selected by an Institution.
3.

Eligibility

Users may access the Platform only if:

  • They are authorized by an Institution.
  • They use the Platform for lawful purposes.
  • They comply with these Terms and applicable laws.

Institutions are responsible for managing user access and permissions.

4.

Account Registration and Security

Users may be required to create accounts to access certain Platform features. Users agree to:

  • Provide accurate and complete information.
  • Maintain updated account information.
  • Keep login credentials confidential.
  • Not share accounts with unauthorized persons.
  • Notify the Company promptly of any suspected unauthorized access.

The Company is not responsible for losses resulting from a user's failure to maintain account security.

5.

Services Provided

KIUD360 provides software tools and services that may include:

  • Student information management
  • Attendance management
  • Examination management
  • Report card generation
  • Fee management
  • Payroll management
  • Timetable management
  • Transport management
  • Complaint management
  • Notifications and announcements
  • Academic administration tools
  • Reporting and analytics

The Company may modify, improve, add, suspend, or discontinue features at its discretion.

6.

Acceptable Use Policy

Users shall not:

  • Use the Platform for unlawful purposes.
  • Upload malicious software or harmful code.
  • Attempt unauthorized access to systems or data.
  • Interfere with Platform operations.
  • Reverse engineer, copy, modify, or create derivative works from the Platform.
  • Circumvent security measures.
  • Use automated tools to access or extract Platform data without authorization.
  • Upload content that infringes intellectual property or legal rights.

Violation of this section may result in suspension or termination of access.

7.

Institution Responsibilities

Institutions are solely responsible for:

  • Accuracy of uploaded data.
  • Obtaining required permissions, notices, and consents.
  • Compliance with applicable laws and educational regulations.
  • User account management.
  • Internal data governance and access control.

The Company does not verify the accuracy, completeness, or legality of Institution Data.

8.

Data Ownership

All Institution Data remains the exclusive property of the Institution.

The Company does not claim ownership of Institution Data, including student records, teacher records, parent information, academic records, financial records, or uploaded documents.

The Institution grants the Company the limited rights necessary to host, process, transmit, secure, back up, and display such data solely for providing the Services.

9.

Data Access and Export

Institutions may access and export their data using available Platform functionality, subject to subscription status and technical limitations. Following termination of services, data may be retained and deleted in accordance with the Privacy Policy and applicable agreements.

10.

Subscription Plans and Payments

Certain features of the Platform may require a paid subscription. Institutions agree to:

  • Pay applicable subscription fees.
  • Provide accurate billing information.
  • Pay taxes and charges applicable to their subscription.

Failure to pay fees when due may result in suspension, restriction, or termination of access to the Platform. Unless otherwise required by applicable law or agreed in writing, subscription fees are non-refundable.

11.

Intellectual Property Rights

The Platform, including its software, design, content, functionality, trademarks, logos, technology, documentation, and related materials, is owned by or licensed to KiudTech and is protected by applicable intellectual property laws. Except as expressly permitted by these Terms, no rights are granted to users in relation to the Platform or its intellectual property.

12.

Third-Party Services

The Platform may integrate with or rely upon third-party services, software, communication providers, payment processors, hosting providers, analytics providers, or technology partners. The Company is not responsible for the availability, performance, security, or practices of third-party services.

13.

Service Availability

The Company will use commercially reasonable efforts to maintain Platform availability. However, the Platform may experience interruptions, maintenance periods, updates, technical failures, internet disruptions, or events beyond our control. The Company does not guarantee uninterrupted or error-free operation.

14.

Backup and Recovery

The Company may maintain backup and recovery mechanisms as part of its service operations. However, Institutions remain responsible for maintaining copies of any critical records they require, and the Company does not guarantee recovery of all data in every circumstance.

15.

Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or suitability for a specific purpose.

16.

Limitation of Liability

To the maximum extent permitted by law, KiudTech shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of revenue, loss of profits, loss of goodwill, loss of data, or business interruption arising from or related to the use of the Platform. In no event shall the total liability of KiudTech exceed the amount paid by the Institution during the twelve (12) months preceding the event giving rise to the claim.

17.

Indemnification

Institutions agree to indemnify, defend, and hold harmless KiudTech, its directors, officers, employees, affiliates, contractors, and representatives from claims, liabilities, losses, damages, costs, and expenses arising from:

  • Institution Data
  • Violation of these Terms
  • Violation of applicable laws
  • Unauthorized or improper use of the Platform
18.

Suspension and Termination

The Company may suspend or terminate access to the Platform if:

  • These Terms are violated.
  • Required fees remain unpaid.
  • Use of the Platform creates security, legal, operational, or compliance risks.

The Company may also suspend access immediately where necessary to prevent security threats, unlawful activity, unauthorized access, or harm to the Platform or its users. Upon termination, access may be discontinued and data handling will be governed by applicable agreements and the Privacy Policy.

19.

Force Majeure

The Company shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, internet failures, power outages, governmental actions, labor disputes, cyberattacks, telecommunications failures, or similar events.

20.

Changes to the Services and Terms

The Company may modify the Platform and these Terms from time to time. Updated Terms will be posted on the Platform or website and become effective upon publication unless otherwise stated. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.

21.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in India.

22.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription agreement, proposal, quotation, order form, statement of work, or service agreement, constitute the entire agreement between the parties regarding the use of the Platform and supersede any prior understandings relating to the same subject matter.
